Sancta Build Team Service Agreement

This Sancta Build Team Service Agreement (“Agreement”) outlines the terms and conditions for participation in the Sancta Build Team service offered by Sancta (“Sancta,” “we,” “us,” or “our”).

By enrolling in a Sancta Build Team plan, the member (“Member,” “you,” or “your”) agrees to the terms below.

1. Sancta Build Team

The Sancta Build Team is an optional implementation service available to eligible Sancta members who would like additional assistance building, configuring, or updating features within their Sancta account.

The Build Team is intended to help members implement their marketing and operational strategies inside Sancta. The Build Team does not replace the Member’s responsibility for making business, marketing, clinical, compliance, or operational decisions for their practice.

All Build Team services must be completed within the Sancta platform unless otherwise specifically stated in writing by Sancta.

2. Build Team Plan

Growth & Build: $199 Per Month with an initial 3 months commitment

Includes up to ten (10) hours of Build Team implementation services per monthly billing cycle.

The Build Team 10 plan includes the same eligible services listed above, with up to ten hours of implementation support available during each monthly billing cycle.

The additional hours allow Members with larger or more frequent implementation needs to submit more work to the Build Team. The plan does not guarantee completion of a specific number of projects or tasks.

3. Services Not Included

The following services are not included in either Sancta Build Team plan:

• Custom copywriting
• Custom graphic design
• Facebook, Instagram, Google, or other paid advertising management
• Advertising strategy, optimization, or ongoing campaign management
• Clinical work
• Practice administrative work
• Direct communication with patients
• Patient scheduling, intake management, billing, or clinical support
• Complex or custom integrations
• Custom software development or coding
• Work performed outside of the Sancta platform
• Services requiring access to third-party systems unless specifically approved by Sancta
• Business, legal, financial, clinical, or compliance consulting

Sancta reserves the right to determine whether a requested task falls within the scope of Build Team services. If a request is outside the scope of the Member’s plan, Sancta may decline the request or recommend an alternative service when available.

4. Copy and Content Requirements

Custom copywriting is not included with Build Team services.

When a project requires written content, including website copy, landing page copy, emails, SMS messages, social media captions, advertisements, or other written materials, the Member is responsible for providing the final copy necessary to complete the project.

If the Member does not provide copy, Sancta may use AI-generated text as placeholder content so the Build Team can continue building the requested asset.

AI-generated placeholder content is provided for implementation purposes only and should not be considered final, reviewed, approved, legally compliant, clinically appropriate, or ready for publication.

The Member is responsible for reviewing, editing, approving, and verifying all copy before it is published, activated, or distributed.

5. Member Responsibilities and Response Times

Build Team projects often require information, approvals, account access, content, or feedback from the Member.

Members are requested to respond to Build Team requests within two (2) business days.

Delays in providing requested information, materials, approvals, or feedback may delay the completion of a project.

Sancta is not responsible for missed deadlines or delayed project completion when the delay results from the Member’s failure to provide the information, access, content, approval, or feedback reasonably required to continue the work.

Time spent completing work, reviewing materials, making requested revisions, communicating about active projects, troubleshooting, or otherwise performing Build Team services may count toward the Member’s available monthly hours.

6. Monthly Hours

Build Team hours are provided on a monthly basis according to the Member’s selected plan.

Unused hours expire at the end of each billing cycle and do not roll over to future months.

Unused hours have no cash value and are not eligible for refunds, credits, or transfers.

Members are responsible for submitting sufficient requests and providing necessary materials in a timely manner to use their available hours.

The Build Team will make reasonable efforts to complete submitted requests within the Member’s available hours, but Sancta does not guarantee that all requested work will be completed within a particular billing cycle.

7. Initial Three-Month Commitment

Enrollment in any Sancta Build Team plan requires an initial three (3) consecutive month commitment.

The Member agrees to pay the applicable monthly Build Team fee for all three months of the initial commitment period.

After the initial three-month commitment has been completed, the Build Team subscription will continue on a month-to-month basis until canceled in accordance with Sancta’s cancellation procedures.

Cancellation during the initial three-month commitment does not eliminate the Member’s financial responsibility for the remaining payments due during the commitment period, except where otherwise required by applicable law.

8. Cancellation and Re-Enrollment

After completing the initial three-month commitment, a Member may cancel their Build Team subscription in accordance with Sancta’s cancellation procedures.

If a Member cancels or otherwise ends their Build Team subscription and later chooses to re-enroll, the re-enrollment will be treated as a new Build Team subscription.

A new three (3) month minimum commitment will begin on the date of re-enrollment, regardless of how many months the Member previously participated in the Build Team service.

Previous months of Build Team membership do not count toward a new commitment period after cancellation.

Availability of Build Team services upon re-enrollment is not guaranteed and may depend on current team capacity.

9. Sancta Membership Requirement

The Sancta Build Team is an add-on service intended for active Sancta members.

An active Sancta software subscription must be maintained in order to use Build Team services.

If the Member’s underlying Sancta membership is canceled, suspended, or terminated, Sancta may suspend or terminate Build Team services.

Termination of the underlying Sancta membership does not automatically waive outstanding Build Team fees or an active minimum commitment unless otherwise stated by Sancta in writing or required by applicable law.

10. Project Scope and Revisions

Members are responsible for providing clear instructions and the materials necessary for each requested project.

Build Team hours are based on time spent performing the requested work rather than the number of tasks submitted.

Changes to the original project instructions, additional requests, revisions, troubleshooting, or expanded project scope may require additional Build Team hours.

If the requested work exceeds the Member’s remaining hours for the month, the Build Team may pause the project until the Member’s next billing cycle or offer another available option for completing the work.

11. Member Review and Approval

The Member is responsible for reviewing all work completed by the Sancta Build Team.

This includes reviewing workflows, automations, forms, funnels, websites, emails, SMS messages, calendars, pipelines, contact information, and any other assets created or modified by the Build Team.

The Member is responsible for confirming that all information is accurate and appropriate for their practice before an asset is published, activated, or used with patients, leads, customers, or the public.

Sancta is not responsible for errors contained in information, instructions, copy, graphics, data, or other materials supplied or approved by the Member.

12. No Guarantee of Results

Sancta does not guarantee that Build Team services will generate leads, patients, appointments, sales, revenue, advertising results, search rankings, or any other specific business outcome.

The Build Team provides implementation assistance. The Member remains responsible for the strategy, decisions, offers, messaging, compliance, and business operations associated with the assets being implemented.

13. HIPAA and Protected Health Information

Build Team members are trained regarding applicable HIPAA privacy and security requirements for their roles.

Members should only provide access to protected health information when reasonably necessary for an authorized Build Team task and when permitted under the Member’s agreements with Sancta.

Build Team services are not intended to include direct patient care, clinical decision-making, clinical documentation, or routine communication with patients.

The Member remains responsible for determining their own obligations as a Covered Entity or Business Associate and for using Sancta and Build Team services in accordance with applicable law and their agreements with Sancta.

14. Changes to Build Team Services

Sancta may modify the scope, pricing, included services, capacity, processes, or availability of Build Team plans from time to time.

Any changes affecting an existing Member’s current commitment or billing will be communicated in accordance with the Member’s applicable Sancta agreements and applicable law.

15. Acceptance

By purchasing or enrolling in a Sancta Build Team plan, the Member acknowledges that they have read, understood, and agreed to this Sancta Build Team Service Agreement, including the applicable monthly fee, monthly hour limit, scope of services, exclusions, and initial three-month commitment.
